TKG PLATFORM – TERMS & CONDITIONS

These Terms & Conditions ("Agreement") govern access to and use of the TKG Platform ("Platform"), operated by Travel Key Gateway Pty Ltd ("TKG Platform", "we", "us", "our"). By accessing or using the Platform, you ("Client", "User") agree to be bound by this Agreement.

1. Definitions

  • "Services" means the SaaS products, modules, APIs, integrations, and support provided via the Platform.
  • "Client Data" means all data submitted to or processed by the Platform on behalf of the Client.
  • "End Customer" means any customer of the Client.
  • "Third-Party Services" means services not owned or controlled by TKG Platform, including suppliers, GDS, APIs, and payment gateways.

2. Scope of Services

TKG Platform provides a Software-as-a-Service solution for travel businesses, including booking management, itinerary creation, CRM, reporting, integrations, and related tools.

We may modify, enhance, or discontinue features at any time. New features may be subject to additional terms.

3. Account & Access

  • The Client is responsible for all activities under its account.
  • Login credentials must be kept secure.
  • TKG Platform may suspend access for security risks or breach.

4. Acceptable Use

The Client must not:

  • Use the Platform for unlawful or fraudulent activities
  • Interfere with system integrity or security
  • Reverse engineer, copy, or resell the Platform without consent
  • Upload harmful code or misuse APIs

5. Fees, Billing & Payments

  • Fees are billed as agreed (monthly/annually)
  • All fees are non-refundable unless required by law
  • Late payments may result in suspension
  • Client is responsible for all taxes (excluding GST where applicable)

Chargebacks & Payment Risk

The Client is solely responsible for:

  • Customer chargebacks
  • Refunds and disputes
  • Fraudulent transactions

TKG Platform bears no financial liability for payment disputes.

6. Intellectual Property

  • All rights in the Platform remain with TKG Platform.
  • The Client receives a limited, non-exclusive, non-transferable license to use the Platform.

7. Data Protection & Privacy

  • The Client retains ownership of Client Data
  • TKG Platform processes data in accordance with applicable privacy laws
  • The Client is responsible for obtaining all required customer consents

Data Security

We implement reasonable security measures but do not guarantee absolute security.

8. Third-Party Services

The Platform may integrate with Third-Party Services.

TKG Platform is not responsible for:

  • Supplier performance
  • API failures or inaccuracies
  • Payment gateway issues

9. Service Availability (No SLA)

  • The Platform is provided on an "as available" basis
  • No guarantee of uninterrupted service
  • Maintenance and downtime may occur

10. Liability & Limitation of Liability

To the maximum extent permitted by law:

  • Services are provided "as is"
  • TKG Platform’s total liability is limited to fees paid in the previous 3 months
  • No liability for:
  1. Loss of profit, revenue, bookings
  2. Business interruption
  3. Data loss
  4. Indirect or consequential damages

11. Indemnity

The Client agrees to defend, indemnify, and hold harmless TKG Platform against all claims arising from:

  • Use of the Platform
  • Business operations
  • Customer disputes
  • Third-party supplier issues
  • Payment disputes and fraud
  • Breach of laws or Agreement

This indemnity survives termination.

12. Travel Industry Disclaimer

TKG Platform is a technology provider only and is not a travel agent, tour operator, or supplier.

We are not responsible for:

  • Travel services provided by Clients
  • Supplier cancellations or failures
  • Pricing errors from third-party feeds

13. Confidentiality

Both parties agree to keep confidential all non-public information obtained under this Agreement.

14. Term & Termination

  • This Agreement continues while the Client uses the Platform
  • Either party may terminate with notice
  • TKG Platform may terminate immediately for breach

Upon termination:

  • Access is revoked
  • Data may be deleted after a retention period

15. Non-Circumvention

The Client agrees not to bypass or circumvent TKG Platform to engage directly with its partners, suppliers, or introduced contacts.

16. Dispute Resolution

  • Parties will attempt good faith negotiation
  • If unresolved, disputes will be subject to mediation before litigation

17. Force Majeure

No liability for events beyond reasonable control, including:

  • Natural disasters
  • Pandemic
